1. Agreement to Terms

These Terms and Conditions constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you" or "User"), and Wake and Tech Nepal Private Limited, doing business as Mero Attendance ("we," "us," or "our"). By accessing or using our website, iOS application, or Android application (collectively, the "Platform"), you agree that you have read, understood, and agreed to be bound by all of these Terms and Conditions. If you do not agree, you are expressly prohibited from using the Platform.

2. Enterprise Service and Employer Control

Mero Attendance provides human resources and attendance tracking software to employers. If you are an employee using this application, please note:

Your employer (the "Organization") is the primary administrator of your account.
The Organization defines the rules for check-ins, leave policies, and payroll generation.
Any disputes regarding attendance records, denied leave, or payroll discrepancies must be resolved directly with your Organization. Mero Attendance acts solely as the software provider and is not a party to your employment agreement.

3. User Accounts and Security

To use our Platform, you must log in using credentials provided by your Organization or generated through our system. You are responsible for maintaining the confidentiality of your password and account details. You agree to notify your Organization or us immediately of any unauthorized use of your account.

4. Acceptable Use and Restrictions

You agree to use the Platform only for its intended purpose. As a user, you strictly agree NOT to:

Use GPS spoofing applications, VPNs, or mock-location software to falsify your check-in location.
Attempt to bypass, manipulate, or spoof Wi-Fi network verifications (BSSID/SSID tracking).
Reverse engineer, decompile, or disassemble any part of the mobile applications or backend software.
Share your login credentials to allow another person to mark your attendance.
Interfere with, disrupt, or create an undue burden on our servers or the networks connected to the Platform.

Violation of these rules may result in immediate suspension of your account and notification to your employer.

5. Intellectual Property Rights

Unless otherwise indicated, the Platform is our proprietary property. All source code, databases, functionality, software, website designs, audio, video, text, photographs, and graphics on the Platform (collectively, the "Content") and the trademarks, service marks, and logos contained therein are owned or controlled by Wake and Tech Nepal Private Limited, and are protected by copyright and trademark laws.

6. Limitation of Liability

The Platform is provided on an "as-is" and "as-available" basis. To the fullest extent permitted by law, we disclaim all warranties, express or implied, in connection with the Platform and your use thereof.

Under no circumstances shall Wake and Tech Nepal Private Limited, its directors, employees, or agents be liable to you or any third party for any direct, indirect, consequential, exemplary, incidental, special, or punitive damages, including lost profit, lost revenue, loss of data, or employment termination arising from your use of the Platform (such as missed check-ins due to network connectivity issues or device failure).

7. Modifications and Interruptions

We reserve the right to change, modify, or remove the contents of the Platform at any time or for any reason at our sole discretion without notice. We will not be liable to you or any third party for any modification, suspension, or discontinuance of the Platform. We cannot guarantee the Platform will be available at all times, as we may experience hardware, software, or server issues requiring maintenance.

8. Governing Law

These Terms shall be governed by and defined following the laws of Nepal. Wake and Tech Nepal Private Limited and you irrevocably consent that the courts of Nepal shall have exclusive jurisdiction to resolve any dispute which may arise in connection with these terms.
